Antelao Odoo Host Manager - Software License Agreement

Version 1.0 | Effective date: 2026-11-01

This Software License Agreement (the "Agreement") is a binding contract between:

Go For Cloud BV, acting under the commercial name Antelao, Kortestraat 1, 3520 Zonhoven, Belgium, registered in the Belgian Crossroads Bank for Enterprises under number 0715.445.472, VAT BE0715445472, e-mail legal@antelao.io ("Antelao", "we", "us", the "Licensor")

and

the business, organisation or public body that installs, activates, operates or uses the Software (the "Licensee", "you").

Read this Agreement before installing or using the Software. By accepting it when you buy a License Key, by installing the Software, by accepting it at the installer's prompt, by confirming acceptance in ohm or in the Antelao console, or by otherwise using the Software, you accept this Agreement in full. If you do not accept it, do not install or use the Software.

If you accept on behalf of an organisation, you confirm that you are authorised to bind that organisation, and "Licensee" means that organisation.

The Software is licensed to businesses only. It is not offered, marketed or sold to consumers within the meaning of Book I of the Belgian Code of Economic Law, and it is not intended for personal, family or household use.

Read Article 6 before anything else. It describes what the Software does to the systems you point it at. Articles 13 and 14 allocate the risk that follows from it.

1. Definitions

"Software" means the Antelao Odoo Host Manager supplied by Licensor in object code form, including the ohm command-line tool and its Debian package, the management API ohm-api, the console ohm-web, the host agent ohm-agent, their container images, the installer scripts, the systemd units, the configuration templates, and any update, patch or replacement supplied to you, together with the Documentation.

"Documentation" means the installation, setup, architecture and operating documentation supplied with the Software or published by Licensor.

"License Key" means the signed license file (.lic) issued by Licensor that identifies the product, the Tier, the permitted quotas and limits, the license term and the hardware binding under which the Software may be used.

"Tier" means the commercial edition designated in the License Key, which determines the features, quotas and limits available to you. An installation without a valid License Key runs at the unregistered tier.

"Host" means a physical or virtual machine on which any part of the Software is installed.

"Managed Environment" means everything the Software creates, configures, operates, changes or removes on a Host or through a third-party service on your instruction: containers, images, volumes, networks, systemd units, PostgreSQL clusters and databases, filestores, the nginx edge, certificates, backup archives at their destinations, firewall and intrusion-prevention state, mail relays, git working copies, and machines rented from a hosting provider.

"Odoo" means the Odoo software published by Odoo S.A., which the Software deploys, configures, builds images for and administers, and which is neither included in nor licensed to you under this Agreement.

"Customer Data" means all data, databases, filestores, configuration, credentials, secrets, logs and content that you, your personnel, your End Customers or their users create, upload, process, store or transmit using the Software, the Managed Environment or the Odoo instances the Software administers.

"End Customer" means any third party for whom you host, operate or administer an Odoo instance using the Software.

2. License grant

2.1 Grant. Subject to your compliance with this Agreement and to a valid, unexpired License Key, Licensor grants you a non-exclusive, non-transferable, non-sublicensable and revocable license, for the term of the License Key, to install and use the Software in object code form on the number of Hosts and within the quotas and limits stated in the License Key, for your own internal business purposes and for hosting Odoo instances for your End Customers.

2.2 The License Key sets the scope. The Tier, the instance and environment quotas, the hardware binding, the version lock and the license term recorded in the License Key form part of this Agreement. Use beyond those limits is unlicensed use, whether or not the Software technically permits it at a given moment.

2.3 Personnel and contractors. You may permit your employees and contractors to use the Software on your behalf and within the licensed scope, provided you remain responsible for their compliance with this Agreement. Any other party requires its own license.

2.4 Reservation of rights. The Software is licensed, not sold. Licensor and its suppliers retain all right, title and interest in and to the Software, including all intellectual property rights in it, in its architecture, in its license format and in its enforcement mechanism. No right is granted other than as expressly stated here.

2.5 Evaluation, trial and unregistered use. Where the Software is made available free of charge, for evaluation, under a trial, or run at the unregistered tier, it is provided for that purpose only, may be withdrawn or changed at any time, and Articles 13 and 14 apply to it in full.

3. Restrictions

You shall not, and shall not permit any third party to:

  1. copy, distribute, sell, rent, lease, lend, sublicense or otherwise make the Software available to any person outside your organisation, other than by operating Odoo instances for your End Customers as permitted by Article 2.1;
  2. make the Software itself, its console, its API or its command-line tool available to your End Customers or to any other third party as a product or service in its own right, unless a Tier or a separate written agreement expressly permits it;
  3. reverse engineer, decompile, disassemble, deobfuscate or otherwise attempt to derive the source code, structure or internal design of the Software, except and only to the extent that such an act cannot lawfully be prohibited under Article XI.300 of the Belgian Code of Economic Law or other applicable mandatory law, and then only after you have requested the necessary information from Licensor in writing and Licensor has failed to supply it within a reasonable period;
  4. circumvent, disable, tamper with, falsify, emulate or interfere with the License Key, the license validation, the activation or check-in mechanism, the hardware binding, the quota and tier enforcement, the version lock, the expiry handling or the audit and access logging of the Software, or use a License Key that was not issued to you;
  5. modify, adapt, translate or create derivative works of the Software, alter its container images, its systemd units or its packages, or combine it with other software in a way that would subject the Software to open-source license obligations;
  6. remove, obscure or alter any copyright notice, trademark, license notice, disclaimer or attribution contained in or displayed by the Software, including this Agreement and the record of its acceptance;
  7. use the Software in breach of applicable law, or in any high-risk environment where failure of the Software could lead to death, personal injury, or severe physical or environmental damage;
  8. publish benchmarks, security assessments or comparative analyses of the Software without Licensor's prior written consent, other than where such disclosure cannot lawfully be restricted.

4. License keys, activation, check-in and enforcement

4.1 Activation. The Software validates its License Key locally against a public key embedded in the product. Activation binds a License Key to an installation and to the hardware class of its Host, and is performed through the Antelao license portal or from within the product, and is moved to another Host as Article 4.4 describes.

4.2 What is transmitted. For issuing and validating License Keys, for renewing entitlement and for detecting unlicensed use, the Software transmits to Licensor with each activation and check-in: the License Key; an installation identifier the Software generates at random; a hardware identifier derived from stable characteristics of the Host; the product version; the host names the Odoo instances are served on; the Host's own clock and the sequence number of the last check-in receipt it holds; and the version, the cryptographic digest and the date and time of first acceptance of this Agreement on the installation. Each check-in also transmits the usage the License Key limits, namely the number of running Odoo instances and of console accounts, measured against what the License Key grants. Activation from within the product also sends the e-mail address the License Key was issued to, and any short note you choose to enter. An installation on which no License Key is installed transmits to Licensor, once a day, so that Licensor can see how the Software is used without a license: the product identifier; the installation identifier and the hardware identifier described above; the product version; the number of running Odoo instances and of console accounts; the host names the Odoo instances are served on; the Host's own clock; and the version, the cryptographic digest and the date and time of first acceptance of this Agreement on the installation. That report carries no License Key, never affects a license, and is not sent while the license check-in schedule is disabled. Licensor records the network address each call and each report arrives from and the time and outcome of each call; for a report it also records the country in which that address is located. No Customer Data is transmitted for this purpose: no database, filestore, log or credential, and neither the name nor the network address of any person who accepted this Agreement.

4.3 Check-in and grace. Entitlement is renewed by periodic check-in at the cadence the license states. An installation that cannot reach the license service keeps operating for the grace period the license allows. After that, an installation whose license is a subscription with a term that has not ended keeps operating, and changes that need features beyond the unregistered tier wait until a check-in succeeds, but only until the offline period the license states has passed since the last successful check-in (fourteen (14) days where the license states none), and never beyond its term. Once that offline period has passed, the installation falls back to the unregistered tier until a check-in succeeds. Under any other license, once the grace period has ended, an installation that held a valid license keeps operating on it for a further fourteen (14) days, after which it falls back to the unregistered tier until a check-in succeeds; an installation that never held a valid license operates at the unregistered tier from the start. A license service that answers and refuses the license is not an outage: the installation falls back to the unregistered tier. You are responsible for allowing the check-in to reach the license service, and for renewing before expiry.

4.4 Hardware binding. A License Key may be bound to a Host by hardware class. Replacing, migrating, re-imaging, restoring or substantially reconfiguring a Host, and virtualisation changes outside your control, may invalidate the binding and require a reissued License Key. You may instead move a License Key to another of your own Hosts from within the Software, at most once in any thirty (30) days and three (3) times in any twelve (12) months, each move confirmed by e-mail to the address the License Key was issued to; the Host it leaves stops being licensed at its next check-in or, if it never checks in again, when its offline period ends.

4.5 Degraded operation is normal behaviour, not a defect. On expiry, revocation, failed validation, exhausted grace or offline period, exceeded quota or a version outside the license's version lock, licensed features stop, refuse to start, become read-only or fall back to the unregistered tier, in whole or in part; instances may refuse to start and management operations may be refused. Licensor is not liable for any consequence of the Software operating in a reduced mode or refusing to operate for any of those reasons, including unavailability of Odoo instances, of the Managed Environment or of Customer Data, and including the consequences for your End Customers. You are responsible for retaining independent access to your own data and backups.

4.6 Verification. Licensor may, on not less than thirty (30) days' written notice, not more than once in any twelve (12) month period, and during your normal business hours, request records and self-certification sufficient to verify that your use is within the licensed scope. You shall respond within thirty (30) days. If verification shows unlicensed use, you shall promptly acquire the licenses required and pay the corresponding fees.

5. Acceptance of this Agreement, and its record

5.1 Where acceptance is asked for. Acceptance is requested when a License Key is bought, when the Software is installed or provisioned and, for each individual, when they first use the console after a version of this Agreement is presented to them.

5.2 What is recorded. Each acceptance is recorded in the installation's own management database, together with the version and the cryptographic digest of the text accepted, the date and time, the identity of the accepting user or installation, the source (installer, command line or console), the network address the acceptance was made from, and the product version. An acceptance at purchase is recorded by Licensor with the version accepted, the date and time, the purchase it was given for, the buyer where known, and the network address and browser it was given from. The record is evidence of acceptance for both parties. You shall not alter, delete or falsify it. The version, digest and time of first acceptance on an installation are also sent to Licensor with each check-in and, on an installation without a License Key, with each daily report (Article 4.2).

5.3 New versions. When Licensor issues a new version of this Agreement, the Software presents it again and asks for acceptance again, and records the new acceptance alongside the previous one. Article 19 governs what a new version does and does not change.

5.4 The current text. The version in force for an installation is always available by running ohm license agreement show on the Host and on the Agreement tab of the console's License page.

6. What the Software does to your systems

This Article is descriptive, not a warranty. It states plainly what the Software is for, because the risk allocation in Articles 13 and 14 rests on it and because you decide what to run.

6.1 Privileged operation. The Software is installed and runs as root on the Host. It installs and manages systemd units, writes and rewrites configuration under /etc/antelao, data under /var/lib/odoo and /var/lib/ohm-agent, sets the Host's name on request, configures journald retention, logs the Docker daemon in to a container registry, and holds access to the Docker socket. Access to the Docker socket is equivalent to root on the Host.

6.2 Destructive operations are ordinary operations. In normal use, on your instruction or on a schedule you configure, the Software creates, replaces, stops, restarts, recreates and removes containers, images, volumes and networks; creates, initialises, clones, renames, dumps, loads, restores, reindexes, vacuums and drops PostgreSQL databases; migrates filestores and PostgreSQL major versions; rebuilds per-instance images; rewrites the nginx edge; and applies retention policies that delete backup archives. A restore overwrites what is there. A repair run of the installer recreates every management container, during which the environment is offline and every Odoo instance stops.

6.3 Automatic and scheduled action. The Software acts without a human present: the host agent upgrades the management plane when an upgrade is placed for it, background jobs and schedulers run maintenance, backups, certificate renewals and statistics collection at the times you configure, and intrusion prevention bans network addresses automatically on the evidence it collects. Automatic banning can lock you, your personnel or your End Customers out of the console, the API or an instance, including by banning the address you administer from.

6.4 Third-party services act on your behalf. On your instruction and with credentials you supply, the Software reaches and acts on: certificate authorities through the ACME protocol (Let's Encrypt), object storage and file transfer destinations for backups (S3-compatible services, Azure Blob Storage, FTP and local filesystems), git hosting providers for addon deployment, SMTP relays for mail, MaxMind for GeoIP databases, container registries, and hosting providers, where it can rent, resize and destroy machines that you are billed for. What those services do, charge, rate-limit, suspend or lose is between you and them.

6.5 Exposure. The Software listens on Host ports that are not behind its own edge, including the agent, the management API, the console, pgAdmin, Portainer and the GeoIP and intrusion prevention services, and its management certificate is self-signed until you install one. Closing those ports at your firewall, restricting them to the addresses that need them, and replacing the certificate are your responsibility, and the Documentation says so.

6.6 Code you bring. Addons deployed from git repositories, Odoo modules, database dumps and archives you restore, and images and containers you introduce, execute inside the Managed Environment with the privileges it grants them. Licensor neither reviews nor vets them.

6.7 You decide. Every operation above runs because you, your personnel or a schedule or policy you configured asked for it. The Software does what it is told, on the systems you point it at.

7. Odoo, third-party software and third-party services

7.1 Odoo is not licensed to you under this Agreement. The Software deploys, configures, builds images for and administers Odoo. Odoo is published by Odoo S.A. and licensed to you by Odoo S.A. or its partners under their own terms. "Odoo" and the Odoo logo are trademarks of Odoo S.A. Antelao is not affiliated with, endorsed by or sponsored by Odoo S.A.

7.2 Your responsibility for Odoo compliance. You are solely responsible for holding all licenses and subscriptions required for your use and your End Customers' use of Odoo, its editions, modules and apps, and for complying with their terms, including any obligation under the GNU Affero General Public License or the Odoo Enterprise Edition License, and including the consequences of building and distributing container images that contain Odoo or third-party modules. Licensor gives no advice, assurance or warranty about your Odoo licensing position and is not liable for any claim brought against you by Odoo S.A. or by any module publisher.

7.3 Third-party services have their own terms. Your use of the services in Article 6.4 is governed by your agreements with those providers, including the subscriber agreement of any certificate authority, the terms and rate limits of any storage, mail, git, GeoIP or hosting provider, and any fees they charge. You are responsible for entering into them, for the credentials you give the Software, and for everything done under those credentials.

7.4 Open-source components. The Software includes third-party and open-source components licensed under their own terms, which prevail over this Agreement to the extent of any conflict. The applicable notices are supplied with the Software and can be read by running ohm license notices on the Host and on the Agreement tab of the console's License page. Licensor gives no warranty in respect of third-party components.

8. Your responsibilities

You acknowledge Article 6 and accept that you, and not Licensor, are solely responsible for:

  1. Backups. Designing, configuring, monitoring and testing your own backup and disaster-recovery arrangements, including verifying regularly that backups exist, are complete, are stored somewhere the Software cannot reach, and can actually be restored. The backup and restore features are tools you configure and supervise; using them transfers no responsibility for backups to Licensor, and a retention policy you set that deletes an archive is your instruction.
  2. Change control. Testing every configuration change, upgrade, migration, restore, rebuild and destructive operation in a non-production environment before applying it to production, and taking a verified backup immediately beforehand.
  3. Infrastructure. The Hosts, hypervisors, operating systems, storage, networking, DNS, power, connectivity and cloud accounts on which the Software runs, and their capacity, patching, hardening, monitoring and cost.
  4. Exposure and access. Firewalling the ports in Article 6.5, replacing the self-signed management certificate, configuring access control and intrusion prevention so that you do not lock yourself out, and keeping a way back in.
  5. Credentials. Safeguarding all credentials, keys, tokens, certificates, API keys, registry credentials, provider tokens and License Keys, and rotating them when required.
  6. Customer Data. The content, accuracy, legality, retention and security of Customer Data, and all obligations of a controller or processor in respect of it under Regulation (EU) 2016/679 and other applicable data protection law.
  7. Your End Customers. Everything in Article 9.
  8. Legal compliance. Your compliance with all laws and regulations applicable to your use of the Software and of the systems, services and data it administers.

9. Your End Customers

9.1 No contract between Licensor and your End Customers. This Agreement is between Licensor and you. Your End Customers acquire no rights under it, and nothing in it is intended to confer a benefit on any third party.

9.2 You are the provider. You contract with your End Customers in your own name and on your own account, you set their service levels, and you are solely responsible for performing them. Licensor owes your End Customers nothing: no availability, no support, no data recovery, and no duty of care.

9.3 Your commitments are yours alone. Any service level, uptime figure, recovery objective, retention period, security assurance or compliance statement you give an End Customer is given by you alone. Nothing in the Software's features, Documentation or marketing is a commitment by Licensor to you or to them, and you shall not represent otherwise.

9.4 Data protection roles. In respect of End Customer personal data you are the processor or the controller, as your arrangements with them determine. Licensor is neither: it does not host, receive or access that data (Article 10).

10. Data protection

10.1 Self-hosted deployment. The Software is installed and operated by you on infrastructure you control. Licensor does not host, receive, access or process Customer Data in the course of your use of the Software, and is not a processor in respect of it.

10.2 What Licensor does process. Licensor processes limited personal data of your personnel in its own capacity as controller, in order to issue and validate licenses, administer the contractual relationship, provide support you request, and prevent abuse: identification and contact details, license, activation and check-in records, the technical data listed in Article 4.2, the acceptance records Licensor holds under Article 5.2, and whatever you include in a support request. The applicable privacy notice is available at https://antelao.io/privacy.

10.3 Support material. Support bundles, log exports, configuration exports and diagnostic archives produced by the Software are written to your own Host and stay there unless you choose to send them to Licensor. The Software redacts known secret-bearing fields by name; that redaction is best effort and not a guarantee, and such material can still contain personal data, configuration and identifiers. You are responsible for reviewing and, where necessary, further redacting anything before you send it.

10.4 Support access. If you ask Licensor to assist with an incident and in doing so disclose or grant access to Customer Data, you remain controller or processor as applicable, you shall minimise what you disclose, and the parties shall put a data processing agreement in place beforehand where applicable law requires one.

11. Support, updates and continuity

11.1 Support. Licensor provides support only to the extent stated in the Tier or in a separate written support agreement. Absent that, the Software is supplied without any obligation to provide support, maintenance, updates, upgrades, bug fixes or security patches, and without any response or resolution time.

11.2 Updates and automatic upgrade. Updates supplied by Licensor form part of the Software and are governed by this Agreement. The host agent applies management-plane upgrades automatically as described in Article 6.3. Licensor may change, add or remove features, endpoints, options, defaults and supported platforms between versions, and may change the supported Odoo versions, PostgreSQL versions, container runtimes, database providers and hosting-provider adapters. You are responsible for reading the release notes and for deciding whether and when to upgrade what you control.

11.3 No compatibility warranty. Licensor does not warrant that any version of the Software will remain compatible with any particular version of Odoo, PostgreSQL, Docker, nginx, a hosting provider's API, a certificate authority's protocol, an operating system or any other third-party component or service, nor that any earlier configuration, backup archive or exported artefact remains usable by a later version.

11.4 Discontinuation. Licensor may discontinue a Tier, a feature, a provider adapter, a supported platform or the Software as a whole. Where you hold a paid License Key, discontinuation does not shorten its current term.

12. Fees

Fees, currency, payment terms, taxes, renewal and refund arrangements are those stated in the applicable order, quotation or portal purchase. Unless expressly stated otherwise, fees are exclusive of VAT and other taxes, are non-refundable, and License Keys are issued only once payment has been received. Charges raised by third parties, including hosting providers whose machines the Software rents on your instruction, are yours alone.

13. Disclaimer of warranties

13.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE, THE DOCUMENTATION AND ANY LICENSE KEY ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY, CONDITION, REPRESENTATION OR TERM OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT OR NON-INFRINGEMENT.

13.2 Without limiting Article 13.1, Licensor does not warrant that: the Software will meet your requirements or those of your End Customers; its operation will be uninterrupted, timely, secure or error-free; defects will be found or corrected; any install, repair, upgrade, migration, rebuild, backup, restore, clone, certificate, mail, git, provisioning or maintenance operation will succeed, complete, be reversible or be recoverable; that data, databases, filestores, configuration, images, containers or backup archives will be preserved, complete, uncorrupted or recoverable; that the Managed Environment will remain reachable; or that the Software or the components it deploys are free of vulnerabilities.

13.3 You accept that software of this kind is not error-free, that you have satisfied yourself that the Software meets your requirements and those of your End Customers, that you have read Article 6, and that you do not rely on any statement, demonstration, benchmark or representation not expressly set out in this Agreement.

14. Limitation of liability

14.1 Allocation of risk. The limitations in this Article are an essential basis of the bargain between the parties, are reflected in the level of the fees, and apply even if a limited remedy fails of its essential purpose. They apply to every claim, whether in contract, tort (including negligence), warranty, restitution, strict liability or on any other legal basis, and they apply to Licensor together with its officers, employees, agents, subcontractors, suppliers and licensors.

14.2 Excluded damage. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGE, NOR FOR ANY OF THE FOLLOWING HEADS OF LOSS, WHETHER DIRECT OR INDIRECT:

  1. loss, corruption, deletion, disclosure, alteration or inaccessibility of data, databases, filestores, configuration, images, containers, volumes, certificates, keys or backup archives, and the cost of recovering, reconstructing or re-entering them;
  2. failure, incompleteness, corruption or unrecoverability of any backup, restore, snapshot, dump, clone, migration, rebuild or upgrade, and the deletion of any archive by a retention policy;
  3. destruction, removal, resizing or non-availability of any container, database, instance, filestore or rented machine, however initiated;
  4. loss of profit, revenue, turnover, contracts, business, anticipated savings or goodwill;
  5. business interruption or downtime, of your systems, of the Managed Environment, of any Odoo instance, or of any system or service of your End Customers;
  6. being locked out of the console, the API, a Host, an instance or a third-party service, including by intrusion prevention, access rules, certificate failure, credential loss or license state;
  7. charges, fees, overages or penalties levied by any third-party provider, including hosting, storage, mail, certificate, GeoIP and registry providers;
  8. cost of procuring substitute software, services, hosting or personnel;
  9. reputational harm, regulatory fines or penalties, and any claim brought against you by a third party, including by your End Customers, their users, Odoo S.A. or a module publisher;
  10. wasted management or staff time;

however caused, and whether or not Licensor was advised of, or could reasonably have foreseen, the possibility of such damage.

14.3 Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT AND THE SOFTWARE, FOR ALL EVENTS AND SERIES OF CONNECTED EVENTS TAKEN TOGETHER, SHALL NOT EXCEED THE FEES ACTUALLY PAID BY YOU TO LICENSOR FOR ONE (1) MONTH OF THE SUBSCRIPTION UNDER WHICH THE SOFTWARE WAS USED, CALCULATED AT THE RATE IN FORCE AT THE TIME OF THE EVENT GIVING RISE TO THE CLAIM; WHERE THAT SUBSCRIPTION IS BILLED FOR A LONGER PERIOD, ONE TWELFTH OF THE ANNUAL FEE. WHERE NO FEES HAVE BEEN PAID, INCLUDING ANY EVALUATION, TRIAL, FREE OR UNREGISTERED USE, LICENSOR SHALL HAVE NO LIABILITY WHATSOEVER. Article 14.5 applies in every case.

14.4 Your own acts. Licensor is not liable for any loss or damage to the extent it arises from: your instructions, configuration, policies or schedules; any destructive, restore, migration, rebuild, removal or provisioning operation initiated by you, your personnel or a schedule you set; your failure to take, store or verify backups; your failure to test before applying changes to production; exposure of a port, service or credential you did not secure; unauthorised access resulting from credentials you failed to protect; addons, modules, images, archives or code you introduced; your infrastructure, third-party software, third-party services or connectivity; modification of the Software; use outside the licensed scope or contrary to the Documentation; or an absent, expired, invalid or revoked License Key.

14.5 What is not excluded. Nothing in this Agreement excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, for wilful misconduct, or for death or personal injury caused by negligence.

14.6 Time limit. Any claim under or in connection with this Agreement must be notified to Licensor in writing, with reasonable particulars, within twelve (12) months of the date on which you first became aware, or ought reasonably to have become aware, of the facts giving rise to it. Claims notified later are excluded, to the extent permitted by applicable law.

15. Indemnity

You shall defend, indemnify and hold Licensor harmless against any claim, demand, proceeding, loss, liability, damages, fine, cost and expense (including reasonable legal fees) arising out of or in connection with: Customer Data; the Managed Environment; any claim by an End Customer, an End Customer's user, or any other third party relating to systems, data or services you operate using the Software; your use of the Software outside the licensed scope or in breach of this Agreement; your use of Odoo or of any third-party module or addon; your use of any third-party service under Article 6.4, including charges incurred and provider terms breached; or your breach of applicable law, including data protection law.

16. Confidentiality

Each party shall keep confidential any non-public information of the other party disclosed in connection with this Agreement that is marked as confidential or would reasonably be understood to be confidential, shall use it only for the purposes of this Agreement, and shall protect it with no less care than it applies to its own confidential information. This does not apply to information that is or becomes public without breach, was already lawfully held, is independently developed, or must be disclosed by law or by a competent authority. The Software, its License Keys, its license format and any non-public technical or commercial information about it are Licensor's confidential information.

17. Term and termination

17.1 Term. This Agreement takes effect when you first accept it and continues until the License Key expires or this Agreement is terminated.

17.2 Termination for breach. Licensor may terminate this Agreement and the license granted under it with immediate effect if you breach Article 3, Article 4.5, Article 4.6, Article 5.2 or Article 16, or if you commit any other material breach that you fail to remedy within thirty (30) days of written notice.

17.3 Insolvency. Either party may terminate with immediate effect if the other becomes insolvent, enters judicial reorganisation or liquidation, or ceases to carry on business.

17.4 Effect of termination. On termination or expiry you shall stop all use of the Software, uninstall it, and delete or destroy all copies in your possession or control, including container images, packages and installer artefacts, and confirm in writing that you have done so if Licensor asks. The Managed Environment and Customer Data remain on your infrastructure and remain your responsibility; Licensor holds no copy and has no obligation to return, export or preserve anything. Articles 2.4, 5.2, 6, 7, 8, 9, 10, 13, 14, 15, 16, 17.4, 18 and 21 survive termination.

17.5 No refund. Termination for your breach does not entitle you to any refund of fees paid.

18. Export control and sanctions

You shall comply with all applicable export control, sanctions and import laws, including those of the European Union, Belgium and, where applicable, the United States. You represent that you are not located in, controlled by, or acting on behalf of any person or jurisdiction subject to applicable sanctions, and that you will not make the Software available to any such person or in any such jurisdiction.

19. Changes to this Agreement

Licensor may issue a new version of this Agreement, for example to reflect changes in the Software, in its commercial model or in applicable law. The Software presents the new version and asks you to accept it before further use, and records that acceptance as described in Article 5.

A new version applies to your continued use of the Software from the date on which it is presented to you. It does not apply retroactively to the period before it was presented, and it does not change the fees or the scope of a License Key already issued, for that License Key's remaining term. If you do not accept a new version you must stop using the Software; where the new version materially disadvantages you and you hold a paid License Key, you may instead terminate and receive a pro rata refund of the fees paid for the unexpired term.

20. General

20.1 Entire agreement. This Agreement, together with the applicable order and License Key, is the entire agreement between the parties in respect of the Software and supersedes all prior discussions, proposals, representations and agreements. Your general terms and conditions, purchase order terms or supplier portal terms do not apply and are expressly rejected, even if Licensor does not object to them.

20.2 Order of precedence. In the event of conflict: the third-party and open-source license terms referred to in Article 7.4 prevail for the components they cover; then this Agreement; then the order or portal purchase; then the Documentation.

20.3 Assignment. You may not assign or transfer this Agreement or any License Key without Licensor's prior written consent, including in connection with a change of control. Licensor may assign this Agreement to an affiliate or to a successor in connection with a reorganisation, merger or sale of the business. Moving a License Key to another of your own Hosts under Article 4.4 is not a transfer.

20.4 Subcontractors. Licensor may use subcontractors and suppliers in performing its obligations and remains responsible for their performance of those obligations.

20.5 Force majeure. Neither party is liable for any failure or delay in performance caused by an event beyond its reasonable control, including natural disaster, war, terrorism, civil unrest, epidemic, labour dispute, failure of power, connectivity, hosting, cloud, certificate authority, container registry or other third-party service, act of government, and cyber attack. Payment obligations are not excused.

20.6 No partnership. Nothing in this Agreement creates a partnership, agency, joint venture or employment relationship.

20.7 Severability. If any provision is held invalid, illegal or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable while preserving its intent or, if that is not possible, severed. The remaining provisions continue in full force.

20.8 No waiver. A failure or delay in exercising any right is not a waiver of it, and no waiver is effective unless in writing.

20.9 Notices. Notices to Licensor go to legal@antelao.io and, where a notice concerns termination or a claim, also by registered post to Kortestraat 1, 3520 Zonhoven, Belgium. Notices to you go to the e-mail address recorded for your account or license. Notices are deemed received on the next business day after sending by e-mail, and three business days after posting.

20.10 Language. This Agreement is concluded in English. Any translation is for convenience only, and the English text prevails.

20.11 Reference. Licensor may name you as a customer and use your name and logo for that purpose only, and shall stop doing so on your written request.

21. Governing law and jurisdiction

This Agreement, and any dispute or claim arising out of or in connection with it, including non-contractual disputes, is governed by the laws of Belgium, excluding its conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods. The courts of Hasselt, Belgium have exclusive jurisdiction, without prejudice to Licensor's right to seek injunctive relief before any competent court to protect its intellectual property or confidential information.
